I'm trying to incorporate my friend's business in CA. I need help on the Statement of Info and ownership...

I'm done with the Article of Incorporation. He's the only person working for the business for the time being, but on the Statement of Information it requires me to have 3 directors filled (CEO, CFO, Sec). How should I proceed? Also, how would we declare him as the owner / shareholder of the business? Do I need to purchase some stock certificates and / or file with the state? If you got the answer please list source if possible so I can dig in more myself. Thank you so much!!
